Company Registration Requirements in Zimbabwe

A checklist of everything the Companies Registry expects before a Zimbabwean company can be incorporated.

Company particulars

  • Approved company name from a name search
  • Business type — private limited company, private business corporation, public limited company or other
  • Nature of the intended business
  • Registered office address in Zimbabwe, including province
  • Postal and contact details

Directors

At least two directors are required on an application through this platform.

  • Full name as it appears on the identity document
  • Identity number and nationality
  • Date of birth
  • Residential address
  • Contact number and email address
  • Consent to act as a director

Company secretary

The same particulars required for a director are required for the company secretary.

Shareholders

  • For natural persons: the same particulars required for directors
  • For entities: registered name, registration number and registered address
  • Class of shares held — ordinary, redeemable preference, non-redeemable preference or another specified class
  • Number of shares and resulting percentage holding

Beneficial owners

Where a shareholder is an entity, the ultimate beneficial owners behind that entity must be disclosed with the same particulars required for directors, plus the type of shares owned and the percentage holding.

Frequently asked questions

Do I need a physical office?
You need a registered office address in Zimbabwe for service of notices. That address is notified to the Registry on form CR5.
Is a tax or VAT number required at registration?
Those numbers are not captured as part of the registration application on this platform.
What if a shareholder is a foreign company?
Supply the entity's registration particulars and disclose its ultimate beneficial owners.
