Zimbabwe company compliance

Company Registration in Zimbabwe — Online

Complete guided online forms and a Partzile compliance officer prepares and lodges your incorporation with the Zimbabwe Companies Registry — no queues, no paper chase.

What company registration involves

Company registration (incorporation) is the process of bringing a new company onto the Zimbabwe companies register so that it exists as a separate legal entity able to trade, contract, open bank accounts and hold assets in its own name.

Partzile Compliance Hub takes you through every stage online: reserving a name, capturing company particulars, directors, secretary, shareholders and beneficial owners, uploading supporting documents, and paying the applicable fees. Your assigned compliance officer reviews everything before it is submitted to the Registry.

Who this is for

  • Entrepreneurs starting a new business who need a registered legal entity
  • Partnerships and sole traders formalising into a limited company
  • Investors or groups setting up a Zimbabwean subsidiary or holding company
  • Applicants who need a registered company to bid for tenders, open a corporate bank account or obtain licences

What you need

  • Up to five proposed company names, in order of preference, for a name search
  • The intended business type — private limited company, private business corporation, public limited company or other
  • At least two directors, with full particulars for each
  • A company secretary
  • Shareholder details, including the shareholding split
  • Beneficial ownership details where a shareholder is an entity rather than a natural person
  • A registered office address in Zimbabwe, including the province

Documents to prepare

  • Identity documents for each director, secretary and natural-person shareholder
  • Proof of the registered office address
  • Signed consent and declaration pages produced by the platform
  • Any additional document your compliance officer requests during review

Zimbabwe legal context

Company formation in Zimbabwe is governed by the Companies and Other Business Entities Act [Chapter 24:31], and the prescribed forms used in the process are the CR forms published under S.I. 46 of 2020.

Registration is administered nationally, so a company registered from Harare, Bulawayo, Gweru, Mutare or anywhere else in Zimbabwe uses the same forms and the same Registry.

Frequently asked questions

Can I register a company in Zimbabwe entirely online?
Yes. You complete every form and upload every document through the Partzile Compliance Hub. A Partzile compliance officer then handles the Registry submission on your behalf.
How many directors does a company need?
The platform requires particulars for at least two directors on a company registration application, together with a company secretary.
What is a name search and why is it first?
A name search confirms whether your preferred name is available for registration. Registration can only continue once a name has been approved, so it is the first paid step.
What happens if none of my names are approved?
You submit a fresh list of preferred names for a further search. The applicable name search fee applies to each new list.
How much does registration cost?
Current service fees are shown on the pricing section of the Partzile home page and inside your dashboard before you pay. Registry charges are quoted separately.
Do I need to visit the Companies Registry?
No. Partzile prepares and lodges the documents, and the issued documents are uploaded to your dashboard for download.
