Who is a beneficial owner

A beneficial owner is the natural person who ultimately owns or controls the company — directly, or indirectly through an entity shareholder, a chain of entities or another arrangement.

When a declaration is required

  • Whenever one or more shareholders is an entity rather than a natural person
  • On new company registrations
  • On company re-registrations
  • When shareholding changes bring a new entity shareholder in

Particulars required

  • Full name and identity details
  • Date of birth
  • Residential address
  • Contact details
  • The entity through which the interest is held
  • Class of shares owned and percentage holding in that entity

Beneficial ownership is not a once-off exercise. When the ownership behind an entity shareholder changes, the declaration should be updated so the record stays accurate.

Do natural-person shareholders need a declaration?
The declaration is triggered where shares are held by an entity. Natural-person shareholders are already captured with full particulars.
How is the percentage measured?
The percentage reflects the beneficial owner's holding in the vehicle entity through which the shares are held.

Yes, to both new registrations and re-registrations.
