Registered Office Changes in Zimbabwe

Your registered office is where the law says notices can be served on your company. An outdated address is a real risk.

Why the address matters

Formal notices — from the Registry, from creditors, from courts — are served at the registered office. If that address is stale, notices are deemed served even though nobody at your company ever sees them.

Which form applies

Notice of a company's registered office address is given on form CR5, prescribed under S.I. 46 of 2020.

What you need

  • Company name and registration number
  • The new registered office address, including province
  • Postal address, if different
  • The effective date of the change
  • Board resolution approving the change and proof of the new address

Frequently asked questions

Can my accountant's address be the registered office?
A service provider's address can be used where they agree to receive notices on the company's behalf.
How soon must I file?
As soon as the change takes effect, so that service of notices remains reliable.
Is proof of address required?
