Company Re-registration in Zimbabwe

Re-registration brings an existing company's record onto the current register with accurate, up-to-date particulars.

Last updated: 2026-08-06

What re-registration is

Re-registration updates an existing company's record so that it complies with the current legislation and reflects its true particulars — registered office, directors, secretary, shareholders and beneficial owners.

Unlike a new registration, no name search is needed because the company already has a registered name and number.

Clear annual returns first

If the date of meeting of your latest annual return is more than a year old, returns are outstanding. The platform calculates how many years are due — always rounded down to the nearest whole year — and shows the total filing cost.

Those returns must be paid for and filed before the re-registration application can be submitted.

Information you will need

  • Registered company name and registration number
  • Date of incorporation
  • Date of meeting of the latest annual return filed, if any
  • Current registered office address and province
  • Full particulars for at least two directors and the company secretary
  • Shareholding split and beneficial ownership details for entity shareholders

Documents

  • Certificate of incorporation and existing company documents
  • Most recent annual return filed
  • CR5 — notice of registered office address
  • Identity documents for directors, secretary and natural-person shareholders

The process end to end

  1. Open a re-registration file from your dashboard

  3. Clear any outstanding annual returns
  4. Complete the guided forms for officers, shareholders and beneficial owners
  5. Upload supporting documents
  6. Officer review, payment and lodgement

Frequently asked questions

Does re-registration change my company number?
Re-registration is about updating an existing company's record — your compliance officer will confirm what changes for your specific entity.
Why must annual returns be cleared first?
A company in arrears is not in good standing, so the arrears are settled as part of the same process before the re-registration is submitted.
Can I track progress?
Yes. Every stage appears on your dashboard, and your compliance officer messages you in-app about queries.
